Abstract: This article analyzes the avatars of the company's existence from the perspective of the protection of minority shareholders in case of division by detachment of assets according to art. 2501 of Law no. 31/1990. The protection of minority shareholders is not limited to information, but more than that, it implies the existence of adequate legal mechanisms when their information is not sufficient to limit the abuse of majority shareholders. Detachment for the benefit of shareholders or for the benefit of the company often implies the existence of the own interests of the majority shareholders to the detriment of the minority shareholders.
